ソフィアホールディングスは、連結子会社であるアクアの全株式をNeXTに譲渡することを決定した。この決定は、インターネット関連事業の再編成による企業価値向上を図るためである。譲渡額は約4億6316万円で、譲渡は2024年12月1日に実行予定。この株式譲渡によって、アクアは同社の連結子会社から外れる。これに伴い、2025年3月期連結財務諸表で約3.93億円の特別利益を計上する予定だ。

*17:30JST ソフィアホールディングス---連結子会社の異動(株式譲渡)及び特別利益の計上ソフィアホールディングス<6942>は27日、同日の取締役会において、同社の連結子会社であるアクアの全保有株式をNeXT(本社：東京都千代田区)に譲渡することを決議し、同日、株式譲渡契約を締結したことを発表した。譲渡価額は463,161,400円、譲渡実行日は2024年12月1日(予定)。

同社では、主要セグメントの一つであるインターネット関連事業の事業再編成について協議・検討を進める中で、中長期的な企業価値向上を目指し、主要セグメントの既存事業において選択と集中を行い、さらなる強化を進めるとともに、新規事業の模索・投資を行っている。今回の株式譲渡はこれらの施策の一環によるものである。株式譲渡に伴い、アクアは連結子会社から外れることになる。また、2025年3月期の連結財務諸表において、関連会社株式売却益として3.93億円の特別利益を計上する予定である。
