*11:13JST リソルホールディングス---アドバンテッジリスクマネジメントとの資本関係解消と新業務提携契約リソルホールディングス<5261>は24日、グループ会社のリソルライフサポートとアドバンテッジリスクマネジメントとの資本関係解消と新たな業務提携契約を締結したと発表。両社は事業シナジー創出に向けた取組みを2021年4月から開始し、両社のサービスを融合させたウェルビーイング支援型福利厚生サービス「アドバンテッジ WellGage」の共同開発や営業連携の取組みを進めてきた。
今回、協業の枠組みができたことが双方で確認できたため、資本関係は解消したとしてもお互いの目指している事業目的を達成しうるとの認識から、協議のうえ資本関
係は解消し、新たに業務提携契約を締結することで合意に至った。両社は提携関係の発展・事業拡大を目指し、引き続きパートナーとして協業していく。
これにより、アドバンテッジリスクマネジメント保有のリソルライフサポートの株式12,490株(発行済株式数の49.0％、帳簿価額6.28億円)全株式をリソルホールディングス及びリソルライフサポートへ譲渡する。
新たな業務提携契約の内容は、アドバンテッジウェルビーイングDXPを軸とした施策を中核に、提携関係を発展させ両社の事業拡大を目指す。
